PRODUCT SUBMISSION AGREEMENT

In consideration for the review of your product submission and by completing the product submission form, you hereby irrevocably acknowledge and agree to the following terms and conditions with the intention of being legally bound:
  1. You represent that any product and all material submitted with the product will be:
    (i)
    original with you and that no other person has an interest therein or claim thereto; or
    (ii)
    that you have sufficient rights to the product and all materials submitted with the product so that your submission to SuccessOnTV.com, a Web site owned by Willow Tree Management Co., LLC, will not violate the rights of any third party.
  2. You acknowledge that review of the product submission in no way implies or creates a confidential relationship or any other obligation of any kind between you and SuccessOnTV.com and its affiliated and subsidiary companies, including, but not limited to, an obligation by SuccessOnTV.com to maintain in secrecy any suggestion or Material submitted.
  3. You acknowledge that SuccessOnTV.com may have developed, or may develop in the future, a product or material that contains elements or features similar or identical to the product or material submitted by you.
  4. Your submission does not obligate SuccessOnTV.com to pursue your product or pay any consideration for any use of your ideas, nor does your submission obligate SuccessOnTV.com or its affiliates or subsidiary companies in any other way whatsoever.
  5. Your rights and remedies in connection with your product submission to SuccessOnTV.com, or the use thereof by SuccessOnTV.com, shall be limited exclusively to any rights and remedies, as may now, or in the future, be accorded to you under applicable United States patent, copyright and trademark laws. The acceptance, consideration, and/or use of the product or material submitted with the product, shall in no way impair SuccessOnTV's right to contest the validity of any patent, trademark, service mark or copyright that might have been or may hereafter be issued on or obtained for the product or material submitted.
  6. You hereby waive all other claims you may have of any nature whatsoever arising out of any disclosure you may make to SuccessOnTV.com, or any affiliated or subsidiary companies.
  7. You hereby agree that any product samples or material submitted by you whether such samples were sent unsolicited by your or at the request of SuccessOnTV.com will not be returned. SuccessOnTV.com has no obligation or responsibility to their safe arrival and will not compensate you in any way for such samples or materials.
  8. These terms and conditions shall inure to the benefit of the parties hereto and their respective heirs, successors, representatives, assigns and licensees, and contain the entire understanding between you and SuccessOnTV.com and may not be modified or waived except in writing signed by an officer of SuccessOnTV.com/Willow Tree Management Company, LLC.
  9. These terms and conditions shall be governed by and construed in accordance with the laws of the State of Nevada, as such laws are applied to agreements made and to be wholly performed within Nevada. You and SuccessOnTV.com hereby consent that any suit brought under or in connection with these terms and conditions may be brought only in the jurisdiction of the State and Federal Courts located in Las Vegas, NV., U.S.A.
